These Terms and Conditions govern your access to and use of textannotator.com and any services made available through the website. By using the site or engaging our services, you agree to these Terms.

Definitions

For clarity in these Terms:

  • Agreement – The written contract, proposal, and related documents governing services.
  • Client Content – Materials, data, or information supplied by the client for use within the services.
  • Deliverables – The outputs, results, or work products defined in the Agreement.
  • Company Tools – Software, internal systems, templates, frameworks, and methods owned or licensed by textannotator.com.
  • Final Deliverables – Completed outputs delivered in accordance with the Agreement.
  • Project – The defined scope of work to be performed.
  • Services – Text annotation, labeling, consulting, or related work offered by textannotator.com.
  • Third-Party Materials – Software, data, or content owned by third parties and incorporated where necessary.

Delivery of Services

Services are provided according to the scope, milestones, and timeline agreed in the Agreement. We exercise professional judgment and reasonable efforts in delivering the Services.

Delivery timelines may depend on timely cooperation from the client, including approvals and provision of required materials.

Proposals and Scope of Work

Service proposals are valid for 30 calendar days unless otherwise stated. If not accepted within that period, we may revise and reissue the proposal.

Work outside the agreed scope must be approved in writing before it begins.

Fees, Expenses, and Taxes

Unless otherwise specified:

  • Third-party costs (e.g., external software, data) are billed separately
  • Approved project expenses are billed at cost
  • Clients are responsible for any applicable taxes

Payment Terms

Invoices are due within five (5) days of issuance unless an alternative schedule is agreed in writing. Payments may follow milestone or project-phase billing.

Delayed payments may affect project timelines.

Changes to Project Scope

All requests for modifications to the project must be submitted in writing.

Minor changes that do not materially affect cost or schedule may be accommodated without a new contract. Major changes impacting scope, budget, or timeline require a supplemental or revised Agreement.

Revised proposals should be accepted within fourteen (14) working days unless otherwise agreed.

Delays and Timeline Adjustments

If progress is delayed due to the client’s failure to provide necessary materials, approvals, or information, project deadlines will be extended accordingly.

Delays caused by events beyond reasonable control may also result in adjusted timelines without breach.

Review and Acceptance

Deliverables are reviewed internally before submission.

Clients have seven (7) working days to review delivered work and request revisions within scope. If no feedback is received during that window, deliverables may be deemed accepted.

Client Responsibilities

Clients agree to:

  • Provide accurate and lawful materials for the Project
  • Ensure Client Content does not infringe third-party rights
  • Respond to requests and approvals in a timely manner
  • Review deliverables for completeness unless otherwise agreed

Unless otherwise specified, final verification remains the client’s responsibility.

Accreditation and Promotion

Unless agreed otherwise in writing, textannotator.com may reference completed work in its portfolio or promotional materials. Any factual reference will be reasonable and factual.

Confidential Information

Both parties agree to protect confidential information shared during the engagement.

Confidentiality obligations do not apply to information already publicly available or independently obtained without breach.

Relationship of the Parties

textannotator.com operates as an independent contractor. Nothing in these Terms creates a partnership, joint venture, or employment relationship.

Subcontractors may be used where appropriate, with responsibility for service performance remaining with us.

Limitation of Liability

To the extent permitted by applicable law, services are provided “as is.” Our liability for any claim related to the Services is limited to the amount paid for the specific services giving rise to the claim.

Rights in Work Produced

After full payment, the client receives a non-exclusive, perpetual, worldwide license to use the Final Deliverables as agreed.

All Company Tools and methods remain our property unless explicitly transferred in writing.

Support Services

 

Support or maintenance services are provided only if agreed separately. Additional services may be charged independently. Any warranty may not apply if deliverables are modified without authorization.

Updates to These Terms

We may revise these Terms and Conditions from time to time. The version published on textannotator.com at the time of use applies. Continued use of the website or services indicates acceptance of any updates.
